Terms of Service

By accessing or using the ProshotReady service at proshotready.io (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Service.
We reserve the right to update these Terms at any time. We will provide notice of material changes by posting the updated Terms with a new effective date. Continued use of the Service after any changes constitutes your acceptance of the revised Terms.
These Terms constitute a legally binding agreement between you and ProshotReady. You must be at least 18 years of age to use the Service.
ProshotReady is an AI-powered professional headshot generation service. You upload photos of yourself, and our service uses artificial intelligence (specifically, a personalized LoRA model trained on your photos) to generate professional-quality headshot images based on your provided photos.
The Service is available under the following plans:
- One-Time Purchase ($19): A single headshot generation session with downloadable results. Payment is non-refundable once generation begins.
- Annual Subscription ($49/year): Ongoing annual access with additional generation sessions and regeneration credits. Cancellable at any time.
We reserve the right to modify, suspend, or discontinue the Service at any time, with reasonable prior notice where practicable.
To use the Service, you agree that you will:
- Only upload photos of yourself. You represent and warrant that you are the sole subject of every photo you upload to the Service. Uploading photos of any other person — with or without their consent — is strictly prohibited unless you have their explicit written authorization and are acting as that person's authorized representative.
- Never upload photos of minors. Under no circumstances may you upload photos depicting any individual under the age of 18. This prohibition is absolute and applies regardless of consent or your relationship to the minor. Violation of this provision will result in immediate account termination and may be reported to law enforcement.
- Not use generated headshots for fraud or impersonation. You agree that you will not use any headshots generated by the Service to impersonate, deceive, defraud, or misrepresent the identity of any person or entity, including yourself in a misleading context. This includes, without limitation, use in identity fraud, social engineering, romance scams, or the creation of false professional credentials.
- Own all rights to uploaded images. You represent and warrant that you are the owner of, or have all necessary licenses and permissions to upload and process, every photo you submit. This includes all intellectual property rights, likeness rights, rights of publicity, and any other rights applicable to the images.
- Have the legal capacity to enter into binding contracts in your jurisdiction.
- Provide accurate and complete information when creating your account.
Prohibited conduct also includes: uploading photos containing nudity, explicit sexual content, graphic violence, or hate speech; attempting to reverse-engineer or scrape the Service; and reselling or sublicensing access to the Service without express written authorization from ProshotReady.
4.1 User Warranties Regarding Uploaded Photos
By uploading any photo to ProshotReady, you expressly represent and warrant that:
- You are the sole subject of each and every photo you upload, or you possess explicit written authorization from every individual depicted in the photo permitting their likeness to be processed by an AI service;
- You own all rights to each uploaded photo, including but not limited to copyright, rights of publicity, rights of privacy, and any other intellectual property or personality rights;
- Your upload does not and will not violate any third-party rights, including privacy rights, likeness rights, intellectual property rights, contractual rights, or any other legal rights;
- None of the uploaded photos depict any individual under the age of 18; and
- You have not obtained the photos through unauthorized means, including scraping, hacking, or any form of theft or misappropriation.
You are solely responsible for all content you upload. ProshotReady does not review uploaded photos prior to processing and is not liable for any content submitted by users. By uploading content, you accept full responsibility for ensuring your uploads comply with these Terms and all applicable laws.
4.2 ProshotReady's Non-Liability for Misuse
ProshotReady is a tool for generating professional headshots from photos that users upload. Once generated headshots are delivered to you, ProshotReady has no control over how you use, publish, distribute, or deploy those images. Accordingly, ProshotReady is expressly NOT liable for:
- Any misuse of generated headshots by you or any third party who obtains them from you;
- Any legal or regulatory claims arising from the content of photos you uploaded;
- Any harm to third parties caused by your use of the Service or the generated images; or
- Any violations of platform terms, employer policies, or professional regulations resulting from your use of generated headshots.
4.3 Full Indemnification — IMAGE CONTENT & USE
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS PROSHOTREADY, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, "PROSHOTREADY PARTIES") FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, LOSSES, JUDGMENTS, AWARDS, COSTS, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES AND LITIGATION COSTS, ARISING OUT OF OR IN ANY WAY RELATING TO:
- any photos or images uploaded by you to the Service, regardless of whether such photos were uploaded with or without proper authorization;
- your use of any generated headshots produced by the Service, including the manner, context, or platform in which such headshots are displayed, distributed, published, or otherwise deployed;
- any claim of likeness rights or rights of publicity arising from the content you uploaded or the headshots generated from that content;
- any claim of defamation, trade libel, or false light arising from or related to generated headshots or how you use them;
- any claim related to fraud, identity theft, impersonation, or misrepresentation involving generated headshots;
- any third-party intellectual property claim, including copyright, trademark, trade dress, or right of privacy claims, arising from your uploaded content;
- your breach of any representation, warranty, covenant, or obligation under these Terms; or
- your violation of any applicable law, regulation, court order, or third-party right.
THIS INDEMNIFICATION OBLIGATION SURVIVES TERMINATION OF YOUR ACCOUNT AND THESE TERMS AND APPLIES REGARDLESS OF WHETHER PROSHOTREADY WAS NEGLIGENT OR AT FAULT.
4.4 Content Removal and Account Termination
ProshotReady reserves the right, in its sole discretion, to remove any uploaded photos or generated content and to immediately suspend or permanently terminate any account that we reasonably believe violates these Terms — without prior notice and without any refund. This right is exercised to protect ProshotReady, our users, and third parties from harm. Termination does not limit any other remedies available to ProshotReady at law or in equity, and ProshotReady may report violations to appropriate law enforcement authorities.
Your Uploaded Photos
You retain full ownership of the photos you upload. By uploading photos, you grant ProshotReady a limited, non-exclusive, royalty-free license to process them solely for the purpose of generating your AI headshots. This license terminates when your photos are deleted in accordance with our Privacy Policy.
Generated Headshots — Your License
Upon completing a paid session, you are granted a non-exclusive, worldwide, royalty-free license to use your generated headshots for personal and commercial purposes, including but not limited to social media profiles, LinkedIn, resumes, professional websites, marketing materials, press kits, and corporate directories. You own the right to use these images as you see fit within the bounds of applicable law and these Terms.
ProshotReady Platform IP
The ProshotReady platform, including its software, design, branding, trade names, trademarks, and proprietary AI models and workflows, is owned exclusively by ProshotReady and is protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to our platform, infrastructure, or AI model IP.
Pricing
- One-Time Purchase: $19 — A single headshot generation session. Payment is processed by Stripe at checkout.
- Annual Subscription: $49/year — Ongoing access with multiple generation sessions and regeneration credits. Cancellable at any time before the next renewal date.
Non-Refundable After Generation Begins
Due to the computational costs of AI model training and image generation, all payments are non-refundable once your headshot generation session has begun. Generation is considered to have begun as soon as your uploaded photos are submitted for AI processing, which typically occurs immediately after payment confirmation.
- Before generation starts: You may request a full refund within 24 hours of purchase if headshot generation has not yet been initiated.
- After generation begins: No refunds are available once AI model training or image generation has started, as computational resources have been irrevocably consumed.
Annual Subscriptions
Annual subscriptions ($49/year) renew automatically at the then-current rate unless cancelled before the renewal date. You may cancel at any time via your account settings. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued for unused portions of an annual term.
Payment Processing
All payments are processed securely by Stripe. By providing payment information, you authorize ProshotReady and Stripe to charge the applicable fees to your payment method. You agree to Stripe's Terms of Service.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSHOTREADY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
AI results may vary. ProshotReady does not guarantee:
- Any specific quality, likeness, or style of generated headshots;
- That generated headshots will meet your aesthetic preferences or professional requirements;
- That the Service will be uninterrupted, error-free, or free of defects;
- That generated images will be suitable for any particular platform, use case, or purpose; or
- Any specific turnaround time for headshot generation (though we aim for 20–40 minutes under normal conditions).
The quality and appearance of AI-generated headshots depend on the quality and suitability of the photos you upload. ProshotReady provides regeneration credits to allow you to retry generation, but makes no guarantee that any particular outcome will be achieved.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSHOTREADY'S TOTAL, CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO PROSHOTREADY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL PROSHOTREADY OR ANY PROSHOTREADY PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF PROSHOTREADY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
This Section 9 sets forth your full indemnification obligations to ProshotReady. These obligations are in addition to, and not in limitation of, the image-specific indemnification in Section 4.3 above.
General Indemnification Obligation
YOU (AND, IF APPLICABLE, YOUR EMPLOYER OR THE ENTITY ON WHOSE BEHALF YOU ARE ACTING) AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS PROSHOTREADY AND THE PROSHOTREADY PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, SUITS, PROCEEDINGS, DAMAGES, LOSSES, LIABILITIES, JUDGMENTS, AWARDS, SETTLEMENTS, FINES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES, COURT COSTS, AND EXPERT WITNESS FEES) ASSERTED BY ANY THIRD PARTY OR GOVERNMENTAL AUTHORITY ARISING OUT OF, RELATED TO, OR RESULTING FROM:
- Your uploaded photos or images — including any claim that your uploaded content infringes or violates the rights of any third party (copyright, likeness, privacy, publicity, or otherwise), or that you lacked the right or authorization to upload such content;
- Your use of generated headshots — including any claim arising from how, where, or in what context you use, display, distribute, publish, or otherwise deploy your generated images, including claims of defamation, fraud, identity theft, impersonation, or misrepresentation;
- Third-party IP claims — including any claim that any content you provided or generated through the Service infringes any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property right of any third party;
- Likeness and personality rights claims — including any claim by any person that their likeness, image, voice, or other identifying characteristics were used without authorization in connection with your use of the Service;
- Your violation of these Terms — including any breach of your representations, warranties, or obligations;
- Your violation of law — including any violation of any applicable federal, state, local, or international law, regulation, or rule; or
- Negligence or willful misconduct — any harm caused by your negligent or intentional acts or omissions in connection with the Service.
Defense and Cooperation
ProshotReady reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such event, you agree to cooperate fully with ProshotReady's defense of such claim. You may not settle any claim that imposes any obligation or liability on ProshotReady without ProshotReady's prior written consent.
Survival
Your indemnification obligations under this Section 9 and under Section 4.3 survive any termination or expiration of your account or these Terms, indefinitely and without limitation.
Governing Law
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that you may assert claims in small claims court if your claims qualify.
Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the fullest extent permitted by law, you waive the right to participate in a class action, class arbitration, or representative proceeding.
Informal Resolution First
Before initiating any formal dispute process, you agree to first contact us at legal@proshotready.io and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any issue within 30 days.
